HIGH RISK § 4.3 — Pay-When-Paid Clause
Owner's payment to GC is a condition precedent to GC's obligation to pay subcontractor. In most states, this is enforceable and can delay payment indefinitely if owner withholds. Negotiate: add a 45-day backstop payment obligation.
MEDIUM RISK § 7.1 — Liquidated Damages: $2,500/day
LD rate of $2,500/day with no cap. Exposure is unlimited if delays are owner-caused but attributed to subcontractor. Negotiate: insert 60-day maximum LD cap.
STANDARD § 11.1 — Retainage: 10% through 50% completion
Standard AIA retainage terms. Release to 5% after 50% completion is within market norms.
